This Partner Agreement governs the relationship between HotWall and its partners participating in the HotWall Partner Program.

Introduction

Welcome to the HotWall Partner Program. By participating in this program, you agree to be bound by the terms and conditions set forth in this agreement.

Important: HotWall is operated by an independent team. This agreement outlines the terms for our partner program and commission structure.

Definitions

Partner: An individual or entity that has been accepted into the HotWall Partner Program.

Referral: A potential customer who accesses HotWall services through a partner's unique referral link or code.

Commission: The payment made to a partner for successful referrals that result in paying customers.

Qualified Referral: A referral that results in a customer who purchases and maintains an active HotWall subscription for at least 30 days.

Partner Obligations

As a partner, you agree to:

- Promote HotWall services in a professional and ethical manner
- Not make false or misleading claims about HotWall services
- Comply with all applicable laws and regulations
- Not engage in spam, fraudulent, or abusive marketing practices
- Maintain the confidentiality of any proprietary information shared by HotWall
- Not compete directly with HotWall or promote competing services using HotWall resources

Commission Structure

Commission Rates:

Commission rates are determined based on partner tier and volume. Standard commission rates range from 15% to 30% of recurring revenue, depending on partner performance and agreement terms.

Payment Terms:

- Commissions are calculated monthly based on active subscriptions
- Payments are processed within 30 days after the end of each calendar month
- Minimum payout threshold: €50 (or equivalent)
- Payments are made via bank transfer, PayPal, or cryptocurrency as agreed

Commission Eligibility:

- Commissions are only paid for Qualified Referrals
- Commissions continue as long as the referred customer maintains an active subscription
- Commissions may be adjusted or revoked if a customer receives a refund or if fraudulent activity is detected

Tracking and Reporting

HotWall provides partners with:

- Unique referral links and tracking codes
- Access to a partner dashboard for tracking referrals and commissions
- Monthly reports on referral performance and earnings

Partners are responsible for ensuring their referral links are used correctly and tracking their own marketing efforts.

Intellectual Property

HotWall grants partners a limited, non-exclusive, non-transferable license to use HotWall trademarks, logos, and marketing materials solely for the purpose of promoting HotWall services in accordance with this agreement.

All intellectual property rights remain with HotWall. Partners may not modify HotWall materials without prior written consent.

Termination

Either party may terminate this agreement at any time with 30 days written notice.

HotWall reserves the right to immediately terminate the agreement if:

- A partner violates any terms of this agreement
- Fraudulent or abusive activity is detected
- A partner engages in activities that harm HotWall's reputation

Upon termination, all outstanding commissions will be paid according to the payment schedule, but no new commissions will accrue.

Limitation of Liability

HotWall shall not be liable for any indirect, incidental, or consequential damages arising from this partnership.

Total liability is limited to the amount of commissions paid to the partner in the 12 months preceding the claim.

Modifications to Agreement

HotWall reserves the right to modify this agreement at any time. Material changes will be communicated to partners via email or through the partner dashboard.

Continued participation in the program after modifications constitutes acceptance of the updated terms.
